Draft — review with counsel before relying on it
1. Who we are & what this covers
These Terms govern your use of the Proof of Audits website, dashboard, browser extension, and related services (the "Services"), operated by legal entity, jurisdiction("Proof of Audits," "we," "us"). By using the Services you agree to these Terms. If you use the Services on behalf of an organization, you confirm you're authorized to bind it.
Specific engagements (a paid audit, a bonded campaign) may have a separate agreement — see our engagement agreement. Where a signed engagement agreement conflicts with these Terms, the engagement agreement controls for that engagement.
2. What Proof of Audits is — and is not
Proof of process, not a guarantee of safety
- We aggregate public data and coordinate reviews; we do not insure against exploits, rug pulls, or losses.
- An attestation reflects that a defined scope was reviewed under defined conditions at a point in time — not that the deployed system is free of risk.
- You are responsible for your own decisions, including any decision to deploy, invest, or transact.
3. Accounts & eligibility
- You must be legally able to enter a binding contract and not barred under applicable sanctions or laws.
- Keep your account credentials and connected wallet secure; you're responsible for activity under your account.
- Provide accurate information. Impersonation or misrepresenting identity or track record is prohibited.
4. Auditors
- Your VAPS reputation is computed from public data per the published methodology. Claiming a profile lets you verify and request corrections.
- Profile verification uses a removable, read-only bio code — no signature or keys. Do not attempt to game scoring with fabricated or plagiarized findings.
- Engagement terms (scope, compensation, timing, confidentiality) are set per engagement in writing. Using the platform is additive to, and not exclusive of, your work elsewhere unless a specific engagement says otherwise.
5. Protocols
- You confirm you have the right to submit any code, repository, or material you provide, and that doing so does not violate a third party's rights.
- You're responsible for the accuracy and completeness of the scope and evidence you submit.
- Published passport content reflects what was submitted and reviewed. You control what you submit; we describe what remains unverified or open.
6. Acceptable use
You agree not to:
- Break the law, infringe others' rights, or use the Services to facilitate fraud or abuse.
- Scrape, overload, reverse-engineer, or interfere with the Services beyond what these Terms permit.
- Post false, misleading, or defamatory content, or misrepresent an audit's findings or status.
- Upload malware or attempt to gain unauthorized access to any system or account.
7. Payments & fees
Fees, platform charges, and any settlement or escrow mechanics for a given engagement are disclosed in writing before that engagement begins. State your fee model and payment terms here once finalized. Except where required by law or expressly agreed, fees are non-refundable.
8. Intellectual property
The Services, branding, and site content are owned by Proof of Audits or its licensors. You retain rights to content you submit; you grant us a limited license to host, process, and — where you've agreed — publish it as part of a passport or attestation.
9. Disclaimers & limitation of liability
To the maximum extent permitted by law, Proof of Audits is not liable for any indirect, incidental, or consequential damages, or for financial losses, exploits, or protocol failures. Our total aggregate liability is limited to the greater of amounts you paid us in the prior 12 months or a fixed cap — set with counsel.
10. Indemnification, disputes & changes
- You agree to indemnify Proof of Audits against claims arising from your misuse of the Services or breach of these Terms.
- These Terms are governed by the laws of governing jurisdiction. Disputes will be resolved via chosen forum / arbitration — set with counsel.
- We may update these Terms; material changes will be posted here with a new "last updated" date. Continued use means you accept the update.
